<h1>1. Definitions</h1><ul><li>"Client" refers to the individual or organisation purchasing services from LOTC.</li><li>"Delegate" means the individual attending the course.</li><li> "Course" encompasses any training program offered by LOTC, including open, bespoke, and online courses.</li><li>"Services" include all training, consultancy, and related services provided by LOTC.</li><li>"Agreement" refers to the contract between LOTC and the Client, incorporating these Terms and Conditions.</li></ul><h1>2. Booking and Confirmation</h1><ul><li>All course bookings are subject to availability and are not confirmed until written acknowledgement is provided by LOTC.</li><li>Upon receipt of a booking request, LOTC will issue a confirmation detailing the course specifics, fees, and payment instructions.</li><li>By confirming a booking, the Client agrees to these Terms and Conditions.</li></ul><h1>3. Fees and Payment</h1><ul><li>Course fees are as stated in the course brochure or on the LOTC website and are exclusive of VAT unless otherwise specified.</li><li>Full payment must be received by LOTC no later than 14 days prior to the course start date.</li><li>In cases where a booking is made within 14 days of the course start date, immediate payment is required upon receipt of the invoice.</li><li>LOTC reserves the right to refuse entry to any Delegate if payment has not been received in full.</li><li>The Client is responsible for all bank charges and any other costs incurred in making the payment.</li></ul><h1>4. Cancellations and Transfers</h1><ul><li>All cancellation requests must be submitted in writing.</li><li>Cancellations received more than 14 days before the course start date will incur a 25% administrative fee.</li><li>Cancellations received 14 days or fewer before the course start date will be subject to the full course fee.</li><li>Delegates may transfer their booking to another individual from the same organisation at no additional cost, provided LOTC is notified at least 3 days before the course start date.</li><li>Requests to transfer to a different course date must be made in writing and are subject to availability and LOTC's discretion.</li></ul><h1>5. Course Amendments and Cancellations by LOTC</h1><ul><li>LOTC reserves the right to cancel or reschedule courses due to insufficient enrollment, trainer unavailability, or other unforeseen circumstances.</li><li>In the event of a course cancellation by LOTC, Clients will be offered a full refund or the option to transfer to an alternative course.</li><li>LOTC is not liable for any expenses incurred by the Client due to course cancellations or rescheduling.</li><li>Course fees, dates, content, and assigned trainers are subject to change. In such cases, LOTC’s liability is strictly limited to the reimbursement of any paid course fees.</li></ul><h1>6. Course Content and Materials</h1><ul><li>LOTC endeavors to provide courses as advertised but reserves the right to make changes to course content, trainers, and materials as necessary.</li><li>All course materials provided are for the Delegate's personal use and must not be reproduced or distributed without LOTC's prior written consent.</li></ul><h1>7. Delegate Conduct</h1><ul><li>Delegates are expected to conduct themselves professionally and respectfully during courses.</li><li>LOTC reserves the right to remove any Delegate whose behavior is deemed inappropriate, disruptive, or offensive. In such cases, no refund will be provided.</li></ul><h1>8. Intellectual Property</h1><ul><li>All intellectual property rights in course materials and content remain the property of LOTC or its licensors.</li><li>Delegates may not reproduce, distribute, or exploit any course materials without LOTC's prior written permission.</li></ul><h1>9. Confidentiality</h1><ul><li>Both LOTC and the Client agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course.</li><li>This obligation of confidentiality extends beyond the termination of this Agreement.</li></ul><h1>10. Data Protection</h1><ul><li>LOTC processes personal data in accordance with the Data Protection Act 2018 and the UK General Data Protection Regulation (UK GDPR).</li><li>Personal data collected will be used solely for the purpose of delivering services and will not be shared with third parties without the Client's consent, except as required by law.</li></ul><h1>11. Liability</h1><ul><li>LOTC’s liability for any loss or damage suffered by the Client is limited to the amount paid for the course.</li><li>LOTC is not liable for any indirect, consequential, or incidental damages arising from the delivery or use of its services.</li></ul><h1>12. Complaints</h1><ul><li>Any complaints should be submitted in writing within 14 days of the course completion date.</li><li>LOTC will acknowledge receipt of the complaint within 7 days and aim to resolve the issue within 14 days.</li></ul><h1>13. Governing Law and Jurisdiction</h1><ul><li>These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales.</li><li>Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.</li></ul><p><br></p>
